She knows. Go watch the scene again - she, and only she, sees Logan and Tom's warm interaction before Tome comes in the room. This was also confirmed by the showrunner in the "after the episode" segment.

the mom renegotiated their divorce settlement so that the kids were cut out of company ownership (I guess?). Which means they didn't have the votes to stop the acquisition. It was implied, and I might have some details wrong. As to the why, they've made a pretty convincing case that she was just a shitty mom that didn't really like her kids.

Money. She's extremely selfish, and none of her kids was particularly welcoming of her new husband so why would she do them any favors?
