If they simply offered a trustworthy deal many would take it, because it's fair. After 5 fixes and follow-ups or whatever, no one can knows if it is legally binding.
If they simply included buyout funds in this rounds of funding negotiations and had a lawyer review the offer before sending it out, people would take it. It is so scammy and sketch looking.
