Whoa, I've actually read both versions of the by-laws (and authored neither), and the "nut-job" version is clearly superior as to both style and substance.

Right -- she asked for people to submit edits and he redlined the draft. And improved it. A lot. I've never met the man (as far as I know), but he's obviously a skilled draftsman and a serious guy.
