Jeff, I guess the real question is what is your budget? The legal service sounds like a one-and-done type deal, but the accountant will probably be an ongoing thing.

Bet we have some accountants in your midst who might be willing to pick up an odd job if they're not working full time. But no matter how you slice it, you're looking at quarterly filing requirements and payments, etc. So, whatever structure you choose (and S corporation/LLC is probably your best bet), you'll need an ongoing relationship. So maybe you should make this a straight-up "help wanted" ad? You're also more likely to pay less with a moonlighter who doesn't have firm overhead. Just a thought.

And, no, I am not an accountant.

If the LLC elects to be taxed a partnership -- as most do -- you will not be taxed twice. You can limit your liability as an LLC but be taxed as a pass-through.

Incorporating won't prevent you frim being personally sued. As a plaintiff's lawyer, if I have to sue a single-person entity, I aleays name the individual as a codedendant along with his company. Get a 250K umbrella policy and make sure it includes full coverage for what is known as "advertising liability" (basically libel).

Part of what I want to discuss with the correct person is whether an LLC is the appropriate structure.

My accountant is mike fine with finesse tax accounting in dc. He was highly recommended to me on this board and we love him. I also have a small business and am incorporated etc.

We are looking for recommendations for the following:

1) An attorney or other professional to help advise and set-up DC Urban Moms and Dads as an appropriate corporate structure (whatever that may be);

2) An accountant or other professional to help advice DC Urban Moms and Dads regarding taxes and other financial arrangements.

We are based in Washington, DC and should be considered to be a start-up despite our decade of operation.
