I'd never take a lateral unless bonus and stocks made it a huge move. Right now my total compensation is hard to beat, and I'm not leaving stuff on the table for the same position in a new company.

It sounds like maybe you don’t come across as as experienced or desirable as you want to. Pharma jobs should be very easy to come by if you have the requisite skills and experience. Maybe hire someone to rework your resume?

There are so many pharma companies and if you have pharma experience it really is easy to get a job, with a promotion, elsewhere. Don’t leave for a lateral position, unless there is some other perk like your company isn’t public and that one is and you’ll get stock bonus etc. I would stay with the devil you know, collect your 300k, and keep applying to positions that are senior director at other companies.

There was lots of competition and an external candidate with deeper networks was brought in instead. Been here 10 years. I am mid 40s, no plans on retiring at all. (I love working and need to work. I would like a chance at being able to do higher level work... hence the question...my gut tells me to stay as I do like my current manager, but i worry that it will be at least 3 years before another promotion potential comes up and again, that isnt guaranteed. But who knows what that will be like in the new comapany?)

What do you mean "passed over"? Was there a lot of competition and you didn't get it? Or were you the obvious pick and the bosses kid got it? Something in between? How long have you been there? How much do you know about the new place?

It's an all facts and circumstances kind of thing that we can't answer for you.

Depends on age and stage of life. If I was within say 5 years of retirement, I'd just accept it and coast. If they tried to can me, I'd conjur a discrimination suit.

If I were younger than 40 I'd leave and burn the place down on the way out.

Passed over for promotion. I tried looking externally for a higher role but hiring team offered me a lateral move instead even though it will still be the same job.
