d. All settlements and severance payouts, paid to any former employees; and
e. The use of GFR’s FEIN, name, and brand by external entities without Board approval." (Note:he leased a car in GFR's name without Board knowledge or approval)

The suit is public information, filed with the County and a necessary read.   It's quite damning against RS, and if true, is a complete breach of both law and fiduciary responsibilities. [/quote]

So whose responsibility is it to sign contracts? Staff or Board?  What does the bylaws say? If RS had delegated authority to sign contracts of this scale before new board member came on board, they will have a hard time proving their case.[/quote]

bylaws clearly state the board has to approve all contracts.
