Lateral move, few incentives to do so

I've been offered a lateral move and despite being told that this is a reward for my performance, the company is offering me few benefits to move. No raise, nada. The move would mean starting over (takes a lot of effort) and possibly a threat of downsizing.

I plan to negotiate hard for a better deal, but should I be worried that I would tick off a higher up by setting out my terms rather than just saying not interested?
